Les soci\u00e9t\u00e9s individuelles, en tant que \u00ab combattants solitaires \u00bb au sens juridique, \u00e9voluent vers de grandes soci\u00e9t\u00e9s de capitaux \u00e0 but lucratif.<\/strong><\/p>\n\n\n\n<p>En examinant attentivement les chiffres des cinq derni\u00e8res ann\u00e9es, on remarque clairement que les temps changent et que la mutation est d\u00e9j\u00e0 en cours. Si en 2013, env. 70% des boulangeries et confiseries \u00e9taient des soci\u00e9t\u00e9s individuelles, en 2017, c.-\u00e0-d. quatre ans plus tard, seulement 50% environ l\u2019\u00e9taient encore. Ces chiffres montrent non seulement une tendance, mais mettent aussi en \u00e9vidence un changement rapide. Mais o\u00f9 tout cela m\u00e8ne-t-il?<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-des-societes-de-capitaux-en-plein-essor\">Des soci\u00e9t\u00e9s de capitaux en plein essor<\/h2>\n\n\n\n<p>Les soci\u00e9t\u00e9s anonymes (SA) et les soci\u00e9t\u00e9s \u00e0 responsabilit\u00e9 limit\u00e9e (S\u00e0rl) sont sur le point de rattraper les soci\u00e9t\u00e9s individuelles dans une course tr\u00e8s disput\u00e9e. En 2013, quelque 30% des soci\u00e9t\u00e9s \u00e9taient des SA ou des S\u00e0rl. Quatre ans plus tard, leur nombre a augment\u00e9 de 15% pour atteindre 45%. Il ne faudra probablement plus longtemps pour que les SA et les S\u00e0rl d\u00e9passent en nombre les soci\u00e9t\u00e9s individuelles et remportent la victoire.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-les-petites-rivieres-font-les-grands-fleuves\">Les petites rivi\u00e8res font les grands fleuves<\/h2>\n\n\n\n<p>En regardant de plus pr\u00e8s, on se demande in\u00e9vitablement ce qui est \u00e0 l\u2019origine de cette \u00e9volution. La raison principale pourrait \u00eatre la concentration en de plus grandes soci\u00e9t\u00e9s. En effet, il semble toujours plus difficile pour des soci\u00e9t\u00e9s individuelles relativement petites d\u2019obtenir leur part du grand g\u00e2teau du march\u00e9. L\u2019ensemble des charges et la pression exerc\u00e9e sur les prix par les grands distributeurs rendent la vie difficile aux petites et moyennes entreprises de la boulangerie-confiserie.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-une-planification-souvent-ardue-de-la-succession\">Une planification souvent ardue de la succession<\/h2>\n\n\n\n<p>Une autre raison pourrait aussi \u00eatre qu\u2019il devient de plus en plus difficile pour les soci\u00e9t\u00e9s individuelles de planifier la succession. Dans les SA et les S\u00e0rl, une telle d\u00e9marche est plus facile, car avec cette forme juridique il est possible de transmettre des parties de l\u2019entreprise. Si autrefois le fils ou la fille reprenait l\u2019entreprise familiale, ce n\u2019est plus forc\u00e9ment le cas aujourd\u2019hui. Ainsi, le d\u00e9tenteur d\u2019une soci\u00e9t\u00e9 individuelle qui ne peut la transmettre serait content d\u2019avoir une soci\u00e9t\u00e9 de capitaux.<br>Alors qu\u2019on assiste \u00e0 un grand changement entre les soci\u00e9t\u00e9s individuelles et les soci\u00e9t\u00e9s de capitaux, les soci\u00e9t\u00e9s en nom collectif et en commandite restent peu importantes.<br>Cette \u00e9volution va probablement continuer en direction d\u2019un nombre toujours moins grand de soci\u00e9t\u00e9s individuelles et d\u2019un nombre croissant de soci\u00e9t\u00e9s de capitaux. Jusqu\u2019\u00e0 quel point?
